Before you continue — key terms:

  • Roof scores and solar estimates are automated approximations from third-party aerial data — not measurements, inspections, or engineering analyses. Verify with a licensed professional before making any claim or sale.
  • You are solely responsible for the legality of your own outreach, including TCPA, do-not-call, and door-to-door solicitation rules, and you indemnify us for it.
  • Credits are non-refundable, liability is capped, and disputes go to individual arbitration under Utah law — with a 30-day opt-out you can exercise by email.

1. Acceptance of Terms

These Terms of Service (the "Terms") are a binding legal agreement between you ("you," "User") and Rooftop Solar Scout LLC, a Utah limited liability company ("Rooftop Solar Scout," "we," "us," "our"), governing your access to and use of our website, applications, data, and services (collectively, the "Service").

By creating an account, checking the acceptance box, or accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

If you accept these Terms on behalf of a company, brokerage, dealer, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts. You represent that you hold every license, registration, permit, and bond required for your activities in each jurisdiction where you operate, including any contractor, home-improvement, solar, or door-to-door solicitation license required by that state or locality.

You are solely responsible for determining what your jurisdiction requires. We do not verify your licensure and make no representation that your intended use is lawful where you operate.

3. What the Service Is — and Is Not

The Service is a lead-generation and prospecting tool. It aggregates and displays third-party data — including imagery, building footprints, and modeled solar estimates from providers such as Google and public data sources — and produces automated, algorithmic ESTIMATES about roof characteristics and hypothetical solar potential.

ALL OUTPUTS ARE NON-BINDING ESTIMATES GENERATED BY SOFTWARE FROM AERIAL AND MODELED DATA. THEY ARE NOT MEASUREMENTS, INSPECTIONS, SURVEYS, APPRAISALS, OR ENGINEERING ANALYSES.

Estimates may be materially wrong for many reasons, including stale or low-resolution imagery, seasonal or tree-canopy changes, construction after imagery capture, obstructions, structural or electrical conditions not visible from above, and inherent limits of modeling. Roof scores, tier labels (such as "Hall of Fame," "MVP," or "All Stars"), panel counts, production figures, and savings figures are heuristic and comparative only.

  • We do not provide engineering, architectural, construction, roofing, structural, electrical, legal, tax, financial, investment, insurance, or real-estate advice.
  • We do not warrant that any property is suitable for solar installation, that any permit will issue, that any incentive or tax credit is available, or that any projected savings will be realized.
  • We do not verify property ownership or occupancy, and we are not a consumer reporting agency. Service outputs are not "consumer reports" under the Fair Credit Reporting Act, and you may not use them for any FCRA-regulated purpose (including credit, insurance, employment, or tenant screening).

Before any sale, contract, installation, or representation to a consumer, you must independently verify all conditions through a qualified licensed professional and an on-site inspection.

4. Your Compliance Obligations (Outreach, Privacy, and Property)

This is the most important section of these Terms. The Service identifies properties. It does not contact anyone for you, and it does not make your outreach lawful. YOU ALONE are the initiator, sender, and caller for every communication you make, and you alone are responsible for its legality.

You agree that you are solely responsible for complying with all applicable laws in every jurisdiction where you operate, including without limitation:

  • The Telephone Consumer Protection Act ("TCPA") and its implementing rules, including restrictions on autodialers, prerecorded and artificial voice messages, SMS and text marketing, prior express written consent, identification requirements, and calling-time limits;
  • The federal Do-Not-Call Registry, all state do-not-call lists, internal do-not-call list requirements, and all state telemarketing registration, bonding, and disclosure statutes;
  • All state and local door-to-door, in-person solicitation, canvassing, peddler, permit, registration, no-solicitation, trespass, and posted-notice requirements, and all cooling-off and written-cancellation-rights rules (including the FTC Cooling-Off Rule and state analogues);
  • The CAN-SPAM Act and all email marketing laws; and all federal and state unfair-or-deceptive-acts-and-practices ("UDAP") statutes governing your advertising, claims, and savings representations;
  • All privacy and data-protection laws applicable to you, including as relevant the California Consumer Privacy Act as amended by the CPRA, and the comprehensive privacy statutes of states such as Virginia, Colorado, Connecticut, Utah, Texas, Oregon, and Montana, together with any applicable state recording-consent laws.

You further agree that you will not: trespass on, enter, or physically access any property without lawful authority or the occupant's permission; misrepresent your identity, affiliation, licensure, or the purpose of your contact; represent or imply that you are affiliated with, endorsed by, or acting for Rooftop Solar Scout, Google, any utility, or any government program; harass, intimidate, or repeatedly contact any person who has asked not to be contacted; or use the Service to stalk, surveil, profile, or target any individual or protected class.

Consumers whose properties appear in the Service are not parties to these Terms and have not agreed to anything. Nothing in these Terms limits their rights against you, and we owe you no defense or indemnity for claims they bring.

You are responsible for maintaining your own suppression lists, consent records, and compliance documentation. We do not maintain them for you and do not monitor your outreach.

5. Acceptable Use and Third-Party Data

Third-party data in the Service — including Google Maps, Google Earth, and Google Solar API content — is licensed to us and subject to the providers' own terms. Your use of that content must comply with those terms. You may not scrape, bulk-export, cache beyond permitted limits, resell, sublicense, redistribute, or create derivative databases from third-party content, or remove any attribution, logo, or notice.

You also may not: access the Service by any automated means except as we expressly permit; reverse engineer, decompile, or attempt to derive our source code or algorithms; circumvent rate limits, credit metering, authentication, or security controls; share or resell your account or credits; probe or load-test our systems; upload malware; or use the Service to build a competing product.

You are responsible for all activity under your account and for keeping your credentials confidential. Notify us promptly of any unauthorized use.

6. Data You Upload or Collect

You retain ownership of the lead, contact, and customer data you upload or create ("Your Data"). You grant us a limited, non-exclusive license to host, process, transmit, and display Your Data solely to operate and support the Service.

You represent and warrant that you have all rights, consents, and lawful bases necessary for us to process Your Data as directed by you, and that your collection and use of it complies with all applicable law. You are the controller of Your Data; we act as a processor on your instructions.

Do not upload Social Security numbers, financial account or payment card numbers, government identification numbers, health information, biometric data, or information about minors. The Service is not designed or authorized for that data, and we disclaim all liability arising from your submission of it.

7. Credits, Fees, and Payment

Scans consume prepaid credits. Prices, credit costs, and inclusions may change prospectively at any time. Payments are processed by third-party processors (including Stripe); we do not store full payment card numbers, and your use of payment processing is subject to the processor's terms.

EXCEPT WHERE A NON-WAIVABLE LAW REQUIRES OTHERWISE, ALL CREDIT PURCHASES ARE FINAL AND NON-REFUNDABLE, INCLUDING FOR CREDITS CONSUMED BY SCANS THAT RETURN NO RESULTS, INCOMPLETE RESULTS, OR RESULTS YOU CONSIDER UNSATISFACTORY. Credits have no cash value, are not property or a stored-value or gift instrument, are non-transferable, and may expire or be forfeited on account termination.

Because outputs are estimates produced from third-party data, a scan that consumes credits but yields few or no qualified properties is a normal outcome and is not a defect or a basis for a refund or chargeback. Initiating a fraudulent chargeback is a material breach.

8. Availability, Changes, and Termination

The Service is provided on an "as available" basis. We do not guarantee uptime, and we may modify, suspend, limit, or discontinue any feature, data source, scoring method, or the entire Service at any time without liability. Third-party data providers may change or revoke access to their data, which may degrade or eliminate functionality.

We may suspend or terminate your account at any time, with or without notice, including for suspected breach of these Terms or unlawful conduct. You may stop using the Service at any time. On termination, your license ends immediately, unused credits are forfeited except where non-waivable law requires otherwise, and Sections 3–6 and 9–14 survive.

We may revise these Terms prospectively. Material changes will be posted with an updated version and effective date, and continued use after they take effect constitutes acceptance. If you do not agree, you must stop using the Service.

9. Disclaimer of Warranties

THE SERVICE, ALL DATA, AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, AND OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE; ANY ESTIMATE, SCORE, TIER, MEASUREMENT, PANEL COUNT, PRODUCTION FIGURE, OR SAVINGS FIGURE IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE; ANY PROPERTY IS SUITABLE FOR SOLAR; ANY LEAD IS ACCURATE, REACHABLE, LAWFULLY CONTACTABLE, OR WILL PRODUCE ANY APPOINTMENT, SALE, REVENUE, OR RESULT; OR THAT DEFECTS WILL BE CORRECTED.

YOU ASSUME ALL RISK ARISING FROM YOUR RELIANCE ON ANY OUTPUT AND FROM ALL OF YOUR OUTREACH, SALES, AND FIELD ACTIVITY. NO ADVICE OR INFORMATION, ORAL OR WRITTEN, CREATES ANY WARRANTY.

Some jurisdictions do not allow the exclusion of certain implied warranties, so some exclusions may not apply to you; in that case such warranties are limited to the shortest period and narrowest scope permitted by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOFTOP SOLAR SCOUT LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS (THE "COVERED PARTIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OR WASTED CREDITS, LOST DATA, LOST GOODWILL, WASTED CANVASSING OR LABOR COST, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

THE COVERED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR: (a) ANY INACCURATE, INCOMPLETE, OR OUTDATED DATA, ESTIMATE, SCORE, OR THIRD-PARTY CONTENT; (b) YOUR OUTREACH OR FIELD CONDUCT, INCLUDING ANY CLAIM, PENALTY, OR STATUTORY DAMAGES UNDER THE TCPA, DO-NOT-CALL, ANTI-SOLICITATION, TRESPASS, PRIVACY, OR UDAP LAWS; (c) ANY ACT, OMISSION, DISPUTE, OR CONTRACT BETWEEN YOU AND ANY HOMEOWNER, CUSTOMER, INSTALLER, LENDER, OR TEAM MEMBER; (d) ANY DECISION YOU MAKE IN RELIANCE ON THE SERVICE; OR (e) ANY THIRD-PARTY SERVICE, DATA PROVIDER, OR PAYMENT PROCESSOR.

THE COVERED PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNTS YOU ACTUALLY PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100). THIS CAP APPLIES IN THE AGGREGATE, NOT PER CLAIM.

These limitations are a fundamental basis of the bargain and apply even if unenforceable in part. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — including liability for our own gross negligence, willful misconduct, or fraud, or any liability under a non-waivable consumer-protection statute. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Any claim arising out of or relating to the Service or these Terms must be brought within one (1) year after the claim arose, or the shortest period permitted by applicable law if longer, or it is permanently barred.

11. Indemnification

You will defend, indemnify, and hold harmless the Covered Parties from and against all claims, demands, actions, investigations, proceedings, losses, liabilities, damages, fines, penalties, statutory damages, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your outreach, marketing, calls, texts, emails, canvassing, or in-person solicitation, including any TCPA, do-not-call, telemarketing, anti-solicitation, trespass, privacy, recording, or UDAP claim; (c) your breach of these Terms or of any representation you make in them; (d) your violation of any law or of any third party's rights; (e) Your Data, including your collection, consent basis, accuracy, and use of it; (f) your relationships and contracts with homeowners, customers, installers, lenders, employees, contractors, or team members; and (g) any representation you make about solar suitability, production, pricing, financing, incentives, or savings.

We may assume exclusive control of the defense and settlement of any matter subject to indemnification at your expense, and you will cooperate. You may not settle any matter that imposes any obligation or admission on a Covered Party without our prior written consent.

12. Binding Arbitration and Class-Action Waiver

PLEASE READ CAREFULLY — THIS SECTION AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO HAVE A JURY TRIAL.

Informal resolution first. Before starting arbitration, you agree to send a written notice of dispute to rooftopsolarscout@gmail.com describing the claim and the relief sought, and to negotiate in good faith for sixty (60) days. This is a condition precedent to arbitration.

Agreement to arbitrate. Except as carved out below, any dispute, claim, or controversy arising out of or relating to the Service or these Terms — including their formation, interpretation, breach, enforceability, or termination — will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association under its Consumer or Commercial Arbitration Rules, as applicable. This agreement is governed by the Federal Arbitration Act. Arbitration will be seated in Utah, or conducted by video or on documents at the arbitrator's discretion. The arbitrator decides all issues except those reserved below, and may award only individual relief.

CLASS-ACTION AND JURY WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. The arbitrator may not consolidate or preside over any class or representative proceeding.

Carve-outs. Either party may (a) bring an individual claim in small-claims court if it qualifies and remains there, and (b) seek injunctive or equitable relief in the state and federal courts located in Utah to protect intellectual property, confidential information, or to stop unauthorized access. Nothing here waives any non-waivable right to bring a claim before, or recover from, a government agency, or to bring a representative claim that applicable law makes non-waivable.

YOUR RIGHT TO OPT OUT. You may reject this arbitration and class-waiver section by emailing rooftopsolarscout@gmail.com with your name, account email, and a clear statement that you opt out of arbitration, within thirty (30) days after you first accept these Terms. Opting out affects nothing else in these Terms and will not be held against you.

Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in the state and federal courts located in Utah, and the remainder of this section stays in force.

13. Governing Law and General Terms

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. Subject to Section 12, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in Utah and waive any objection to that forum. Where a non-waivable law of your home state applies, it governs only to the minimum extent it must.

Independent parties. You are an independent user. These Terms create no partnership, joint venture, franchise, employment, or agency relationship, and you may not bind us or hold yourself out as our agent or affiliate.

Intellectual property. We and our licensors own the Service, its software, algorithms, scoring methods, and all trademarks. You receive only a limited, revocable, non-exclusive, non-transferable license to use the Service for your internal business purposes under these Terms. All feedback you provide may be used by us without restriction or compensation.

Severability and savings. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to be enforceable, or if it cannot be, severed; the remaining provisions stay in full force. If a limitation of liability, disclaimer, or waiver is held unenforceable in your jurisdiction, it will apply to the maximum extent permitted there.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages, provider failures, natural disasters, and government action.

Entire agreement; no waiver; assignment. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede all prior understandings. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them freely. Headings are for convenience only.

Electronic agreement. You consent to contract electronically and agree that your click-acceptance is a signature under the E-SIGN Act and applicable state law.

14. Privacy Policy

What we collect. Account information (name, email, hashed password, role, and optional phone); usage and diagnostic data (scan activity, credit transactions, IP address, device and browser information, timestamps); the acceptance record described below; the lead and property data you create or upload; and payment metadata from our processor (we never receive your full card number).

Why we use it. To provide, secure, support, and improve the Service; to meter credits and process payments; to communicate with you about your account; to detect fraud and abuse; to enforce these Terms; and to comply with law.

Acceptance record. When you accept these Terms we store your user identifier, the version accepted, a UTC timestamp, and the IP address and user agent used. This is retained as evidence of your agreement.

Disclosure. We share data with service providers that operate the Service on our behalf (hosting, database, authentication, mapping and solar data, payment processing) under confidentiality obligations; with authorities where required by law or to protect rights and safety; and with a successor in a merger, acquisition, or asset sale. WE DO NOT SELL YOUR PERSONAL INFORMATION OR SHARE IT FOR CROSS-CONTEXT BEHAVIORAL ADVERTISING.

Your rights. Depending on your state — including under the California Consumer Privacy Act as amended, and the privacy statutes of Virginia, Colorado, Connecticut, Utah, Texas, Oregon, and Montana — you may have rights to access, correct, delete, or port your personal information, to opt out of sale or targeted advertising, and to be free from discrimination for exercising them. Email rooftopsolarscout@gmail.com to make a request; we will verify and respond as required by law. Because you control the lead data you upload, requests from consumers about that data should be directed to you as its controller.

Security and retention. We use commercially reasonable administrative and technical safeguards, including encryption in transit and hashed passwords. NO METHOD OF TRANSMISSION OR STORAGE IS COMPLETELY SECURE, AND WE CANNOT GUARANTEE ABSOLUTE SECURITY. We retain data while your account is active and as needed for legal, accounting, and dispute-resolution purposes.

Children. The Service is not directed to anyone under 18, and we do not knowingly collect information from children.

Cookies. We use cookies strictly necessary for authentication and session management. We do not use third-party advertising cookies.
